Terms of Service

3.1 Account Creation

To use JOSH, you must complete our conversational interview process via SMS. During this process:

• You must provide accurate, current, and complete information
• You must verify your phone number
• You may be required to provide additional information including your name, age, location, and photographs
• All information you provide must be truthful and represent you authentically

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Not sharing your account access with any third party

3.3 One Account Per Person

You may maintain only one JOSH account at any time. Creating multiple accounts to circumvent our matching system, evade suspension, or for any other purpose is strictly prohibited and will result in termination of all your accounts.

3.4 Account Termination by You

You may delete your account at any time through the account settings in the Service. Upon deletion:

• Your profile will be removed from matching
• Active SafeChat sessions will be terminated
• Your personal data will be handled according to our Privacy Policy
• Sprint Pass purchases are non-refundable (see Section 5)

4.1 How JOSH Works

JOSH is an SMS-first friendship matching service that operates through the following stages:

Conversational Interview: You engage in a natural conversation with JOSH's AI system via SMS over several days to build your profile. No forms or questionnaires required.

Profile Creation: Based on your conversational interview, JOSH creates a comprehensive psychological profile to identify compatible friendship matches.

Sprint Passes: To receive introductions, you purchase a Sprint Pass, which guarantees you will receive three (3) complete introduction opportunities.

Introductions: When JOSH identifies compatible matches, you receive an introduction preview including your potential friend's first name, photo, and compatibility reasoning.

SafeChat: After mutual acceptance of an introduction, you and your match communicate anonymously through masked phone numbers for up to 10 days.

Reveal: When both parties are ready, you can exchange real contact information to continue your friendship outside of JOSH.

4.2 No Guarantee of Specific Matches

While JOSH uses sophisticated AI and psychological profiling to identify compatible matches, we do not guarantee:

• That you will be matched with any specific person
• The timing of when introductions will be provided
• That matched individuals will respond to introductions
• That introductions will result in lasting friendships
• The character, conduct, or compatibility of other users

JOSH provides tools and introductions to facilitate friendship connections. The success of any friendship depends on the mutual effort, compatibility, and choices of both individuals.

4.3 Service Availability

We strive to provide reliable Service access, but we do not guarantee that:

• The Service will be available at all times without interruption
• The Service will be error-free or free from bugs
• Any defects in the Service will be corrected
• The Service will meet your specific requirements

We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

5.1 Sprint Pass Purchase

To receive introductions through JOSH, you must purchase a Sprint Pass. Current pricing:

• Sprint Pass: $49.99 per Sprint Pass (one-time payment)

Sprint Passes are non-subscription, one-time purchases processed through Stripe, our third-party payment processor.

5.2 What's Included

Each Sprint Pass guarantees:

• Three (3) complete introduction opportunities
• Access to SafeChat anonymous messaging for all accepted introductions
• Unlimited time to complete all three introductions (no expiration)
• Automatic extension until all three introductions are delivered

A "complete introduction opportunity" means you receive an introduction preview, and if mutually accepted, access to SafeChat communication. Whether or not the introduction progresses to contact reveal, it counts as one of your three guaranteed introductions.

5.3 No Refunds

All Sprint Pass purchases are final and non-refundable, except in the following circumstances:

• Fraudulent or unauthorized charges to your payment method
• Platform failure where JOSH is unable to deliver the Service due to technical issues entirely within our control
• As otherwise required by applicable law

Specifically, refunds will NOT be provided for:

• Change of mind after purchase
• Dissatisfaction with match quality or compatibility
• Matches who do not respond or choose not to proceed
• Your inability or unwillingness to participate in introductions
• Account suspension or termination due to your violation of these Terms

5.4 Billing and Payment Processing

By purchasing a Sprint Pass, you agree that:

• You authorize JOSH and Stripe to charge your selected payment method
• You will provide accurate and complete billing information
• You are responsible for all charges incurred through your account
• You will notify us immediately of any billing errors or unauthorized charges

5.5 Taxes

You are responsible for any applicable sales, use, value-added, or other taxes, except for taxes based on JOSH's net income.

6.1 Acceptable Use

JOSH is designed exclusively for adults seeking genuine platonic friendships. You agree to use the Service only for its intended purpose and in compliance with all applicable laws.

6.2 Prohibited Content and Conduct

You may NOT use JOSH to:

Romantic or Sexual Activity

• Seek romantic relationships, dating, or sexual encounters
• Send sexually explicit messages, images, or content
• Make unwanted romantic or sexual advances

Harassment and Abuse

• Harass, threaten, stalk, or intimidate other users
• Engage in hate speech or discriminatory conduct based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Bully, demean, or deliberately cause emotional distress

Fraudulent or Deceptive Behavior

• Provide false, misleading, or inaccurate information in your profile
• Impersonate any person or entity
• Use photos that are not of you or that misrepresent your appearance
• Create multiple accounts
• Engage in any form of fraud, scam, or deceptive practice

Commercial Activity

• Solicit money, financial information, or donations
• Promote multi-level marketing (MLM) schemes or business opportunities
• Advertise, sell, or promote products or services
• Use JOSH for commercial purposes without our prior written consent

Privacy Violations

• Share other users' personal information without their explicit consent
• Attempt to circumvent SafeChat's privacy protections
• Screenshot or record conversations without consent
• Contact other users outside of JOSH before mutual Reveal

Platform Integrity

• Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated systems, bots, or scripts to access or use the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Remove, circumvent, or disable any security features or technological measures

Illegal Activity

• Engage in any unlawful conduct
• Violate any local, state, national, or international law
• Infringe upon the intellectual property rights of others
• Transmit malware, viruses, or any other harmful code

6.3 Content Standards

All content you share through JOSH, including messages, photos, and profile information, must:

• Be your own original content or content you have permission to share
• Be truthful and not misleading
• Not violate any third party's rights, including copyright, trademark, privacy, or other personal or proprietary rights
• Not contain material that is harmful to minors
• Comply with all applicable laws and regulations

6.4 Monitoring and Enforcement

JOSH reserves the right, but is not obligated, to:

• Monitor user content and communications for violations of these Terms
• Remove or refuse to display any content that violates these Terms
• Terminate or suspend accounts for violations
• Cooperate with law enforcement investigations
• Take any other action we deem necessary to protect the Service and our users

We use automated systems and AI to detect potentially harmful content, including but not limited to:

• Crisis or self-harm language
• Harassment or threatening content
• Scam or fraud indicators
• Inappropriate sexual content
• Hate speech or discriminatory language

6.5 Reporting Violations

If you encounter content or behavior that violates these Terms, you can report it by:

• Texting "REPORT HARASSMENT," "REPORT SCAM," or "REPORT ABUSE" during a SafeChat conversation
• Contacting us at help@callmejosh.ai
• Using the reporting features within the Service

We investigate all reports and take appropriate action, which may include warnings, suspension, or permanent account termination.

7.1 Anonymous Messaging

SafeChat is JOSH's privacy-protected messaging system that uses masked phone numbers to enable anonymous communication between matched users. During SafeChat:

• Your real phone number is never revealed to the other person
• All messages are routed through JOSH's proxy system
• Messages are encrypted at rest
• You communicate using temporary masked phone numbers

7.2 SafeChat Duration and Commands

SafeChat sessions:

• Allow up to 10 days of anonymous communication
• Can be ended early by either party using the "PASS" command
• Automatically close after 10 days if no Reveal occurs
• Include reminder messages on Day 9

Special commands during SafeChat:

• REVEAL: Express your intent to exchange real contact information (requires both parties to confirm)
• PASS: End the SafeChat session and decline to continue the connection
• PHOTO: Request a link to view your match's photos again
• STOP: Opt out of all JOSH communications (you cannot resume)
• HELP: Receive help information

7.3 Contact Reveal Process

To exchange real contact information:

• Both parties must independently text "REVEAL"
• Upon mutual confirmation, you each receive a secure link to view the other person's full profile and contact information
• The SafeChat session immediately closes
• You are responsible for all direct communication after Reveal

Warning: Once you Reveal, you cannot un-reveal. The other person will permanently have your real name, phone number, email, and other disclosed information.

7.4 Safety Reminders

When meeting someone in person for the first time:

• Always meet in public places
• Tell a friend or family member your plans
• Provide your own transportation
• Trust your instincts - if something feels wrong, leave
• Do not share financial information or send money

JOSH is not responsible for your safety during in-person meetings or for the conduct of other users outside the Service.

8.1 Your Content

You retain ownership of all content you submit to JOSH, including messages, photos, and profile information ("Your Content"). By providing Your Content to JOSH, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, and display Your Content solely for the purposes of:

• Operating and providing the Service
• Improving and developing the Service
• Ensuring safety and security of users
• Complying with legal obligations

This license terminates when you delete Your Content or your account, except:

• Where Your Content has been shared with other users (who retain their own copies)
• Where retention is required for legal, safety, or operational purposes
• Where Your Content has been incorporated into anonymized, aggregated data

8.2 Testimonials and Success Stories

JOSH may share anonymized stories about successful friendships formed through the Service. We will not use your name, photos, or identifying details in marketing materials without your explicit written consent. If you provide a testimonial:

• You grant us permission to use your name and testimonial in our marketing materials
• You confirm your testimonial is truthful and based on your genuine experience
• You may withdraw consent at any time by contacting us at help@callmejosh.ai

8.3 JOSH's Intellectual Property

The Service, including all content, features, and functionality (including but not limited to all information, software, text, displays, images, audio, and the design, selection, and arrangement thereof), is owned by Call Me JOSH LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service or any portion thereof
• Use any JOSH trademarks, logos, or branding without our prior written consent
• Frame or mirror any part of the Service
• Use data mining, robots, or similar data gathering and extraction tools

10.1 Payment Processing (Stripe)

We use Stripe to process payments. Your payment information is handled directly by Stripe and is subject to Stripe's terms and privacy policy. We do not store your complete credit card numbers.

10.2 SMS Services (Twilio)

We use Twilio for SMS messaging. Your phone number and messages are processed through Twilio's infrastructure and are subject to Twilio's terms and privacy policy.

10.3 AI Services (Anthropic)

We use Anthropic's Claude AI to conduct conversational interviews and analyze compatibility. Your interview conversations are processed by Anthropic's systems and are subject to Anthropic's terms and privacy policy.

10.4 No Endorsement

We do not endorse, warrant, or assume responsibility for any third-party services, websites, or links that may be referenced through the Service. Your use of third-party services is at your own risk.

11.1 "As Is" and "As Available" Basis

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

JOSH does not warrant that:

• The Service will meet your expectations or requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Any defects or errors will be corrected
• The Service is free of viruses or other harmful components
• The results obtained from use of the Service will be accurate or reliable
• The quality of matches, friendships, or connections will meet your expectations

11.2 No Background Checks

JOSH does not conduct criminal background checks on users.

We do not verify the accuracy of user-provided information beyond basic verification procedures. You are solely responsible for conducting your own due diligence before meeting or communicating with other users.

11.3 User Interactions

JOSH is not responsible for the conduct of any user on or off the Service.

You agree to take reasonable precautions in all interactions with other users, particularly when meeting in person. JOSH does not guarantee the safety of users or the accuracy of any user's profile information.

11.4 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Call Me JOSH LLC, its officers, directors, employees, agents, or affiliates be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Service
• Damages resulting from any conduct or content of any third party or user
• Unauthorized access to or alteration of your transmissions or content
• Damages arising from in-person meetings with other users

Whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not JOSH has been informed of the possibility of such damage.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

11.5 Cap on Liability

To the maximum extent permitted by applicable law, the total liability of Call Me JOSH LLC to you for any claims arising from or related to the Service is limited to the amount you paid to JOSH in the twelve (12) months preceding the claim, or $100, whichever is greater.

13.1 Termination by JOSH

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Providing false or misleading information
• Harassment of other users or JOSH staff
• Attempting to circumvent our systems or policies
• At our sole discretion for any other reason

13.2 Three-Strike System

For certain violations, we may implement a progressive discipline system:

• First Strike: Warning that may include temporary suspension (24-48 hours)
• Second Strike: Extended suspension (7 days) and final warning
• Third Strike: Permanent account termination

Serious violations may result in immediate permanent termination without warnings.

13.3 Effect of Termination

Upon termination of your account:

• Your access to the Service will be immediately revoked
• Your profile will be removed from matching
• Active SafeChat sessions will be closed
• Sprint Pass purchases are non-refundable
• Your personal data will be handled according to our Privacy Policy
• You may not create a new account without our express permission

13.4 Survival

The following sections survive termination of these Terms: Sections 5 (Payment Terms), 8 (Intellectual Property), 11 (Disclaimers and Limitations), 12 (Indemnification), 14 (Dispute Resolution), and 15 (Governing Law).

14.1 Informal Resolution

Before filing a claim, you agree to contact us at help@callmejosh.ai and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, you or JOSH may bring a formal proceeding.

14.2 Mandatory Arbitration

You and JOSH agree that any dispute, claim, or controversy between you and JOSH arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, and will be conducted by a single neutral arbitrator. The arbitration will take place in the state of Washington, or at another mutually agreeable location.

The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction. This arbitration provision limits your ability to litigate claims in court and you acknowledge that:

• There is no judge or jury in arbitration
• Court review of an arbitration award is limited
• Discovery in arbitration may be more limited than in court

14.3 Class Action Waiver

You and JOSH agree that each party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, representative, or private attorney general proceeding.

The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

14.4 Exceptions to Arbitration

Notwithstanding the above, either party may bring a claim in court in the following circumstances:

• To enforce or protect intellectual property rights
• For injunctive or equitable relief
• In small claims court for claims within that court's jurisdiction

14.5 Opt-Out Right

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to help@callmejosh.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, phone number, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, all other terms of these Terms will continue to apply, but you will not be bound by the arbitration provisions in this Section 14.

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines incorporated by reference, constitute the entire agreement between you and JOSH regarding the Service and supersede all prior agreements and understandings.

17.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. JOSH's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17.3 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

17.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without JOSH's prior written consent. JOSH may freely assign these Terms without your consent. Any attempted assignment in violation of this section shall be void.

17.5 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and JOSH.

17.6 Force Majeure

JOSH shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.7 Electronic Communications

You consent to receive communications from us electronically, including via SMS, email, or notices posted on the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
